Article 1 General

Article 1【Purpose】This Code of Conduct (hereinafter referred to as "Code") is to outline ethical values, judgment and standards of behavior for employees of Gyeonggi Pyeongtaek Port Corporation (hereinafter referred to as "Corporation") to comply with the purpose of preventing corruption and keeping the public office transparent.

Article 2【Definition】Terms used in this Code are as follows.
1. "Employees" mean all employees hired by executives as per the Human Resources Department regulations according to Corporation's Article 27.
2. "Work-related official" means either an individual (if the employee is an individual) or a group that is related to the business of the employees, which falls under the following.

A. Individuals or groups in general who have applied or plan to apply for civil affairs at the Corporation
B. Specific individuals or groups for permit, inspection, audit, control or guidance purposes.
C. Individuals or groups who receive direct benefit or are at disadvantage from decision, appraisal, test, assessment or coordination.
D. Individuals or groups who have contracted or plan to contract with the Corporation
E. Individuals or groups who hold substantial relationships with the Corporation for certain behaviors under employee's rights
F. Individuals or groups who are related to business chosen by the Corporation CEO
3. "Coworkers" mean any employee who receive a direct benefit or are at disadvantage from other employees' job performance and fall under the following.

A. Subordinates who receive business commands from related superiors
B. Employees responsible for personnel, audit, evaluation, awards and budget business or directly related employees
C. If the Corporation delegates and consigns business authority to others, the employees supervising the delegated and consigned business and managing them
D. Any other employee chosen by the Corporation CEO
4."Gifts" mean items or securities, hotel vouchers, memberships, admissions or equivalent with no price (or relatively lower than the going market rate or trade customs) provided in exchange of favors
5."Bribe" means providing food, golf outings or similar entertainment, or transportation or accommodations in exchange of favors.

Article 3【Scope】All Corporation employees are subject to this Code (including non-regular workers).

Article 4【Obligations and responsibilities】①모All staff must understand and adhere to this Code, and be responsible for any violations.
②The Corporation CEO can request employees to submit a pledge of integrity or compliance in order to guarantee agreement with the Code to keep the office transparent and prevent corruption.

Chapter 2 Basic attitude of employees

All employees must have work ethic and firm determination to reject corruption in any case, and try to establish integrity and transparent public image.

Article 6【Faithful duty】Employees should hold their job with dignity and pride as members of the Corporation, and must always have a friendly and sincere work attitude.

Article 7【Maintain dignity】Employees must realize that their attitude and decision-making may affect the ethical reputation and confidence of the Corporation, and try to maintain the dignity and honor of the individual and the Corporation using their right judgment and sound words.

Article 8【Regulatory compliance】Employees should comply with laws and regulations while performing their duties, and be fair by conscience.

Article 9【Responsibility】Employees should share the Corporation's management ideology , understand the goals and values pursued by the Corporation, and complete responsibility with creativity and good faith, in compliance with the business policy of the Corporation.

Article 10【Self-development】Employees should establish a proper image suited in the international global era, and constantly try to develop themselves.

Chapter 3 Responsibility and Duty to Customers

Article 11【Customer respect】Employees should realize we exist for our customers, always respect them, show empathy, and regard customers as high priority for any action.

Article 12【Customer satisfaction】
①Employees need to accurately identify the demand and expectation of the customers, and try to provide the best products and best services.
②Employees should listen to customer's comments and suggestions and humbly accept them, and process customer complaints as quickly as possible.

Article 13【Protect customers' interests 】
①All employees should protect the customer's assets, intellectual property, trade secrets, and customer information, and treat them as if they were more important than the Corporation assets, and also should not violate the interests of customers via any unethical conduct.
②All employees should accurately and quickly inform customers on the information they must be aware of.

Chapter 4 Fair Performance

Article 14【No discrimination】
Employees should not discriminate any particular individuals or groups based on the kindred or academic relations while performing their duties.

Article 15【Solicitation prohibited】
①Employees should not meddle or make solicitations that would hinder executing other employees' duties in order to receive a benefit for themselves or others.
②Employees should not introduce an official involved in a determined duty to others while executing theirs in order to receive a benefit for themselves or others.

Article 16【Solicitation Prohibited for promotions】 ①Employees are banned from soliciting personnel executives to influence their promotions or transfers.
②Employees should not abuse the power of their positions and be involved in promotions or transfers.

Article 17【Avoiding biased relationships in their duties】 ① Employees must avoid decision-making in the process of executing their business when related to any of following.
1. Spouse, immediate family members, or cousins1. Spouse, immediate family members, or cousins 2. Organizations where employees had previously worked or plan to work in the future
3. One who is blood-related or went to the same schools with employees, and judged that cannot perform a fair duty
②Employees who wish to avoid duties according to Clause ¨c, shall inform their direct superior or the Code of Conduct executive officer, and if they are not certain about avoidance, then they shall request counseling to their direct superior or Code of Conduct executive officer.
②The direct superior or Code of Conduct executive officer who have been asked for counseling according to Clause ¨e, should consider each of the following, and need to report to the Corporation CEO after deciding if the employee should not carry on the duty. However, the superior will not need to report to the Corporation CEO if the employee can be reassigned temporarily under the authority of the superior.
1. Type of biased relationship
2. The employee's role and responsibility in the process of carrying his duty
3. Sensitivity of the business internally and externally
4. Degree of difficulty to entrust other employees with a particular duty
5. Influence in other duties' fairness
②The Corporation CEP, who receives a report as per Clause ¨e, shall take necessary measures to handle the duty fairly.

Article 18【Avoiding biased relationships in their duties】
Employees should spend the corporation budget for business expenses only, including business trip and business related duties, and not for other purposes that may cause damage the Corporation assets.

Article 19【Avoiding biased relationships in their duties】
① Employees should not violate the law and be involved with political parties or politicians, and intervene in illegal political activities.
② Even during legitimate political activities, employees should also be cautioned as to not to be interpreted as official Corporation's political activities.

Article 20【Acquisition and management of fair and transparent information】 ① Employees should not allow or order their subordinates to violate laws or regulations and hinder fair execution of their duties in order to benefit themselves or third parties.
② Subordinates who get orders that fall under Clause ¨c shall not obey their superiors' orders and explain the reasons.
③ If illegal orders are continuously made regardless Clause¨e, the employee should counsel with the Code of Conduct executive officer or report to the Corporation CEO.

③ The Code of Conduct executive officer, who counsel according to the Clause ¨e, shall confirm the order, and report to the Corporation CEO upon the need to cancel or amend the order.
④The Corporation CEO who receive the report according the Clause ¨e should take proper measures to either to cancel or amend the order.
⑤ The employee should not be discriminated or be in disadvantage because he rejected the order as per Clauses ¨c and¨e.

Chapter 5 Prohibition of receiving fraudulent gains

Article 22【Misuse of power】
① Employees should not misuse the power of their positions for fraudulent gains for themselves or others.
②Employees should not misuse or let others misuse the Corporation or their position in order to receive fraudulent gains for themselves or others.

Article 23【Prohibition of profiting by personal use of Corporation's assets】Employees should not profit from using Corporation's assets, such as official vehicles, office items or real estate for personal purposes.

Article 24【Trade restriction of job-related information】 ①Employees should not trade or invest on asset securities or real estate using classified information gained performing their duties, and should not provide such information to others or assist them for trade and investments.
②The Corporation CEO should set all the details on the criteria to restrict trading job-related information, to comply with Clause

Article 25【Restriction on receiving bribes】
① Employees are prohibited from receiving any bribe whether in the guise of money, real estate, gifts, or bribes (also called as "money and other goods") from duty-related person, except on each of the following.
. Money or other goods provided by legitimate ground of claim, such as debt payments.
2. Food or conveniences provided if it is customary to do so.
3. Transportation, accommodation or food provided for participants of a public job-related event by the host indiscriminately.
4. Souvenirs or promotional items distributed to unspecified people.
5. Money or other goods provided publicly to assist employees who are suffering from diseases or disasters.
6. Other money or goods provided with permission of Corporation CEO for smooth execution of their duties
② Employees should not receive any money or goods from job-related officials. However, each of the following may be exempted.
1. In case of Clause
2. Simple gifts or food provided normally that do not exceed 30,000 won
3. Money or other goods provided publicly in meetings among employees
4. Money or other goods provided as an award from superiors to their subordinates to motivate them
③Employees should not receive any money or other goods from work-related officials or coworkers in relation to specific duties. However, there may exceptions for the cases of Clause ¨c and ¨e.

Article 26【Prohibition of providing money or goods】Employees should not provide any money or goods to duty-related officials, government officials or politicians on behalf of the Corporation. This article does not apply to case that fall under Clause ¨c of Article 25.

Article 27【Restrictions on spouses receiving bribes】
Employees should not let their spouses or immediate family members receive any money or goods that are prohibited by Article 25, and should not let them offer any money or goods that are banned by Article 26.

Article 28【Prohibition of borrowing money】
① Employees should not borrow money from work-related officials (cousins may be excluded - applied the same in this article), or rent real estate at no charge (or at prices relatively lower than the going market rate or trade customs - applied the same in this article). However, under standard conditions, loans from financial institutions stipulated in Article 2 of real name confidential financial transactions and laws may be exempted.

③employees who inevitably have to borrow money from work-related officials or rent real estate at no charge, should report to the Corporation CEO.

Chapter 6 Compliance with the Integrity Contract System

Article 29【Restrictions on future offerings】While being employed at the Corporation, employees shall not take on any special offers from work-related officials to be granted jobs after retirement or sign business contracts

Article 30【Sign and implement integrity contract】 ①Employees must comply with related regulatory procedures fairly and transparently on bid contracts and contract implementation of all goods purchased by the Corporation.
②Employees should not request money or goods by misusing their superior leverage during the bid contract or contract implementation process as per Clause ¨c, or should not request improper demands, such as unfair business conditions and management interference.

Chapter 7 Transparency of information and financial management

Article 31【Compliance with Integrity contract system】Employees who are in charge of tasks as referred to on Article 30 should sign an agreement to implement incorruptible contracts, definitely promising not to provide illegal money or goods during the process of concluding a bid contract and fulfilling public contracts, and also pledging to accept penalties upon violation of those terms.

Article 32【Measures for orders to hinder fair duty execution】임Employees should obtain information through proper channels, work correctly according to the report, and should not manipulate or destroy it with the purpose of benefiting specific individuals or groups.

Article 33【Transparent financial management 】Employees should comply with relevant laws and accounting principles that are generally accepted for accounting and financial management practices, and must keep truthful and transparent records.

Article 34【Prohibiting disclosure of information】Employees should not reveal important information obtained when fulfilling their duties to third parties without prior permission or approval from the Corporation.

Article 35【Disclosure of transparent information】Employees should not reveal important information obtained when fulfilling their duties to third parties without prior permission or approval from the Corporation.

Article 36【Protection of intellectual property rights】
① Employees must comply with Corporation's regulations and laws when using intellectual property, such as patents, trade secrets, trademarks, and copyrights belonging to the Corporation.
② Employees should not steal or misuse intellectual property of others in order to perform Corporation duties, which may cause the Corporation legal and moral consequences.
② Employees should purchase and use only authentic software.

Article 37【Report external lectures】① Employees, excluding the ones with permission according to relevant regulations, who wish to participate in seminars, discussions, presentations, symposium or educational lectures or speeches, (hereinafter referred to as "lectures") more than three times or six hours a month must obtain an approval from the Corporation CEO after citing the event, reasons, place, date and remuneration, if any, of those lectures.
② The Corporation CEO can allow employees to attend lectures based on his judgment that will not hinder their duties, as specified in Clause ¨c, and there will be no risk of revealing trade secrets or classified information.
③Remunerations from lectures, as specified in Clause ¨c, should not exceed what organizers of those lectures normally pay, and not exceed regular standards.
④Employees, who do not get approval as per Clause ¨c but participate in lectures, must file a report to the Corporation CEO if the remuneration exceeds 500,000 won per lecture.

Article 38【Healthy culture for matters of personal nature】
① Employees should take initiative and set good examples for others to establish a healthy culture for matters of personal nature.
② Employees may not notify the personnel about events of personal nature of work-related officials or coworkers. However, each of the following may be exempted.
1. Notices from family
2. Notices from employees about their current or past work
3. Notices for unspecified people via newspapers or broadcasting
③ Employees should not receive any money or goods for matters of personal nature. However, each of the following may be exempted.

1. Money or goods for matters of personal nature, worth 50,000 won or less per case
2. Money or goods for matters of personal nature between employees and family members
3. Money or goods for matters of personal nature provided according to religious beliefs and social organizations
4. Money or goods for matters of personal nature that are specified by the Corporation CEO

Chapter 9 Responsibility and duty for society and country

Article 39【 Prohibition of personal business during work hours】Employees should hinder productivity at work by spending their working hours on personal matters and non-job related work, such as hobbies, religion and charity activities.

Article 40【Prohibition of improper use of information and communication system】Employees should not conduct any of the following actions, using the internal information and communication systems.
1. Linking to pornographic sites or engaging in unhealthy chats, gambling and gaming
2. Using company equipment in inappropriate ways unrelated to duties

Article 41【Restrictions on golf or gambling activities】
① Employees should not involve in gambling activities such as golf, mah-jong, Korean flower cards, other card gaming. However, employees who go golfing with company officials must report to the Corporation CEO prior to or after golf outings.
② When employees go golfing together, subordinates are not responsible for paying the expenses.

Article 42【Mutual respect among employees】
① Employees shall keep basic manners among colleagues, and refrain from conducting with insolent behavior or criticizing other employees.
② Subordinates and superiors shall respect each other and create a respectful work environment.
③Employees should not treat other employees differently depending on one's own beliefs, but keep a friendly fellowship showing sincere interest in their happiness and sorrow.
④Employees shall create a bright and harmonious work environment respecting other employee's merits and achievements, praising them, and advising them on their weakness and wrongdoings.

Article 43【Prohibition of forming personal organizations】
Employees should not self segregate at the workplace based on blood, regional, academic relationships, and should not establish personal organizations.

Article 44【Prohibition of sexual harassment】
Employees should not conduct themselves in acts that cause sexual temptation or harassment such as
1. Touching or making contact to any part of the body
2. Talking vulgarities and making obscene jokes
3. Making sexual comparisons or evaluating a person's appearance
4. Showing and posting obscene pictures or illustrations
5. Forcing others to drink or dance at official dinnersV 6. Any other type of conduct that may cause sexual harassment in a social environment

Article 45【Healthy personal life】
Employees shall refrain from enjoying themselves in lavish entertainment establishments, rejecting the concept of vanity, and living frugally.

Article 46【Contribution to the development of local community and the country】① Employees shall develop the Corporation into a constructive group through reasonable and responsible management, and contribute to the development of the nation and local community by creating social wealth.
② Employees, as members of the local community, shall humbly accept the fair demands from local residents regardless of their social strata, and try their best to resolve them.
③ The Corporation shall actively support its employees to participate in social activities, and try to develop the cultural and economic development of the local society.

Article 47【Safety and hazard prevention】Employees shall keep the workplace clean, comply with safety laws and regulations, and do their best to prevent any disaster or hazard.
